These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Zensor Solutions LLP (“Zensor,” “we,” “us,” or “our”), governing your access to and use of the Zensor website at zensorsolutions.com (the “Site”) and the Zensor platform, tools, reports, APIs, and related services (collectively, the “Services”).
By creating an account or using the Services, you agree to these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
- Definitions
- “Account” means the registered user account you create to access the Services.
- “Client Website” means a third-party website you add to the Zensor platform for monitoring, auditing, or reporting.
- “Connected Data” means data retrieved from third-party services (e.g. Google Analytics 4, Google Search Console, PageSpeed Insights) through integrations you authorise.
- “Subscription” means the paid plan you select, which determines the features, client website limits, and support level available to you.
- “Content” means all text, data, reports, recommendations, visuals, and other materials generated by or displayed through the Services.
- “White-Label Reports” means reports generated by Zensor that bear your branding instead of Zensor’s.
- Eligibility
You must be at least 18 years of age and capable of entering into a binding legal agreement to use the Services. By registering, you represent that the information you provide is accurate, current, and complete, and you agree to keep it updated.
- Account Registration and Security
To use the platform, you must create an account with a valid work email address and a secure password. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account, including actions taken by team members you invite.
- Notifying us immediately at security@zensorsolutions.com if you suspect unauthorised access to your account.
We reserve the right to suspend or terminate accounts that are used in violation of these Terms or that pose a security risk.
- Third-Party Integrations and Data Authorisation
Zensor connects to third-party services including Google Analytics 4, Google Search Console, Google PageSpeed Insights, and other SEO tools through secure OAuth 2.0 authentication. By connecting these services, you:
- Authorise Zensor to retrieve, store, and process the data necessary to provide the Services.
- Represent that you have the legal authority to grant this access — including for data belonging to your clients’ websites.
- Acknowledge that Zensor’s use of data received from Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements.
- Understand that you can revoke access to any connected service at any time through your Zensor account settings or through the third-party provider’s security settings.
Zensor is not responsible for outages, API changes, or data limitations imposed by third-party providers. If a provider restricts or discontinues API access, certain features of the Services may be temporarily unavailable.
- Website Crawler
When you add a Client Website to the platform, Zensor’s automated crawler visits the publicly accessible pages of that website to perform SEO audits. By adding a Client Website, you represent that:
- You have authorisation from the website owner to perform automated crawling and analysis.
- The website is not configured to prohibit such crawling via robots.txt for the Zensor user agent.
Zensor’s crawler respects robots.txt directives. If a website owner contacts us to request that crawling cease, we will comply promptly and notify you.
- Subscriptions, Payments, and Billing
6.1 Plans and Pricing
Zensor offers multiple subscription tiers (Starter, Professional, Agency, and Enterprise), each with specified features, client website limits, and support levels. Current pricing is displayed on our pricing page at zensorsolutions.com/pricing.
We reserve the right to change pricing with at least 30 days’ advance notice. Price changes take effect at the start of your next billing cycle.
6.2 Payment Processing
Payments are processed through a third-party payment processor. Zensor does not directly handle or store credit card numbers or bank account details. By providing payment information, you authorise us to charge the applicable subscription fees on a recurring basis (monthly or annually, as selected).
6.3 Free Trials and Waitlist
We may offer free trials, beta access, or early access waitlists from time to time. These may be subject to additional terms. We reserve the right to modify or discontinue trial programmes at any time.
6.4 Refunds and Cancellations
You may cancel your Subscription at any time through your account settings. Upon cancellation:
- You retain access to the Services until the end of your current billing period.
- No prorated refunds are issued for partial billing periods.
- Annual subscriptions may be eligible for a prorated refund within the first 14 days of purchase, at our discretion.
- Your data will be retained for 90 days after cancellation. After that period, it will be permanently deleted unless you request earlier deletion.
- Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
- Access or attempt to access another user’s account without authorisation.
- Use the Services to scrape, crawl, or monitor websites you do not own or have authorisation to analyse.
- Reverse-engineer, decompile, or attempt to extract the source code of the platform.
- Introduce malware, viruses, or any other harmful code into the platform.
- Use automated bots or scripts to access the Services in a manner that exceeds reasonable usage limits or places excessive load on our infrastructure.
- Resell, sublicense, or redistribute the Services unless explicitly authorised in writing by Zensor (white-label reporting to your own clients is permitted under the applicable plan).
- Use the AI-generated recommendations or reports in a manner that misrepresents them as human-authored professional advice (e.g. legal, financial, or medical advice).
We reserve the right to suspend or terminate your account for violations of this Acceptable Use Policy.
- Intellectual Property
8.1 Zensor’s Intellectual Property
The platform, including its software, design, algorithms, AI models, branding, and documentation, is the proprietary property of Zensor Solutions LLP and is protected by applicable intellectual property laws. Your Subscription grants you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes during the subscription term.
8.2 Your Data
You retain full ownership of all data you upload, connect, or generate through the Services, including Connected Data, Client Website audit results, and any reports you produce. You grant Zensor a limited licence to process this data solely to provide and improve the Services.
8.3 White-Label Reports
Reports generated under your brand through the white-label feature are your property. You may share them with your clients as you see fit. Zensor retains no claim to white-label report content.
8.4 Feedback
If you provide suggestions, feature requests, or other feedback about the Services, you grant Zensor a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose, including product improvement, without obligation to you.
- AI-Generated Content and Recommendations
Zensor uses artificial intelligence to analyse your connected data and generate insights, recommendations, and reports. You acknowledge that:
- AI-generated content is provided for informational purposes and as a decision-support tool. It does not constitute professional SEO, legal, financial, or business advice.
- While we strive for accuracy, AI-generated outputs may contain errors, and you should independently verify critical recommendations before acting on them.
- Zensor does not guarantee specific SEO outcomes, rankings, or traffic results from following AI recommendations.
- Your Connected Data is processed to generate insights for your account. It is not used to train general-purpose AI models or shared with other users.
- Data Protection and Privacy
Our collection, use, and protection of personal data is governed by our Privacy Policy at zensorsolutions.com/privacy-policy. By using the Services, you also agree to the terms of our Privacy Policy.
Where you use the Services to process data belonging to your clients, you are responsible for ensuring that you have obtained any necessary consents and that your use of the Services complies with applicable data protection laws (including GDPR, CCPA, and the Indian DPDP Act).
- Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services. This includes, but is not limited to, your Connected Data, account details, and any proprietary information about the Zensor platform. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
- Service Availability
We aim to maintain high availability of the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice where practicable).
- Unscheduled downtime caused by technical failures, third-party API outages, or force majeure events.
- Security incidents requiring immediate remediation.
Enterprise plan customers may have access to a separate Service Level Agreement (SLA) with uptime commitments and remedies. Contact sales@zensorsolutions.com for details.
- Limitation of Liability
To the maximum extent permitted by applicable law:
- Zensor’s total liability for any claims arising out of or related to these Terms or the Services shall not exceed the amount you paid to Zensor in the 12 months preceding the claim.
- Zensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, even if advised of the possibility of such damages.
- Zensor is not liable for any loss or damage resulting from: (a) your reliance on AI-generated recommendations; (b) third-party API outages or data inaccuracies; (c) unauthorised access to your account due to your failure to maintain credential security; or (d) your violation of these Terms.
- Disclaimer of Warranties
The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, Zensor disclaims all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
Without limiting the foregoing, Zensor does not warrant that: (a) the Services will meet your specific requirements; (b) the Services will be uninterrupted, timely, secure, or error-free; (c) the data or insights provided through the Services will be accurate or reliable; or (d) any defects in the Services will be corrected.
- Indemnification
You agree to indemnify, defend, and hold harmless Zensor Solutions LLP and its founders, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Services in violation of these Terms.
- Your breach of any representation or warranty made in these Terms.
- Your addition of Client Websites to the platform without proper authorisation.
- Any dispute between you and your clients relating to reports or data generated through the Services.
- Your violation of any applicable law or third-party rights.
- Suspension and Termination
16.1 By You
You may cancel your account at any time through your account settings or by contacting support@zensorsolutions.com.
16.2 By Zensor
We may suspend or terminate your access to the Services, with or without notice, if:
- You violate these Terms or our Acceptable Use Policy.
- Your account is used for fraudulent, abusive, or illegal activity.
- You fail to pay subscription fees after reasonable notice and a grace period.
- Continued provision of the Services to you becomes impractical due to legal or regulatory changes.
16.3 Effect of Termination
Upon termination, your right to use the Services ceases immediately. We will retain your data for 90 days to allow for export, after which it will be permanently deleted. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will remain in effect.
- Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.
Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days. If the dispute remains unresolved, either party may initiate binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Ahmedabad.
- Modifications to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email (to the address associated with your account) and by posting the updated Terms on this page with a revised effective date, at least 15 days before the changes take effect.
If you do not agree with the updated Terms, you may cancel your account before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
- General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable Order Form or SLA, constitute the entire agreement between you and Zensor.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Failure by Zensor to enforce any provision of these Terms does not constitute a waiver of that provision or any future enforcement.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. Zensor may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure: Zensor shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including natural disasters, war, pandemic, government action, or internet or utility failures.
- Notices: All notices under these Terms should be sent to legal@zensorsolutions.com. We will send notices to the email address associated with your account.
